Terms of Service

KeystoneIQ is operated by Intellibricks Inc. (“Intellibricks,” “we,” “us,” or “our”). Intellibricks Inc. is the legal entity; KeystoneIQ is the product name for the Service. Company site: https://intellibricks.app. These Terms of Service (“Terms”) govern access to and use of the KeystoneIQ websites, applications, and related services (collectively, the “Service”). By creating an account, clicking to accept, or using the Service, you (“you,” “your,” or “Customer”) agree to these Terms.

If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” includes that entity.

1. The Service

KeystoneIQ provides competitive intelligence, briefs, summaries, and related workflow features as described on our website and in-product documentation. The Service is intended to complement your existing tools (such as CRM, collaboration, and document systems)—not to replace them. We may modify, suspend, or discontinue features with reasonable notice where practicable; we are not obligated to maintain any specific feature indefinitely.

2. Nature of the Service; informational use; your sole responsibility

2.1 Reference and guidance. Outputs from the Service (including AI-generated briefs, summaries, talking points, and recommendations) are provided for informational, reference, and planning purposes to help sales and marketing teams consider context and options. They are not guaranteed to be complete, accurate, current, or suitable for any particular situation.

2.2 Your judgment and accountability. You are solely responsible for how you use the Service and any outputs—including what you communicate to customers, prospects, or regulators, and what actions you take in your CRM, in the field, or elsewhere. Any decision to act (or not act) on information from the Service is entirely yours, based on your own judgment, internal policies, and compliance obligations. Intellibricks does not control your business decisions and is not responsible for outcomes of those decisions.

2.3 Not professional advice. The Service does not constitute legal, financial, tax, regulatory, or other professional advice. You should obtain advice from qualified professionals where appropriate. Nothing in the Service creates a fiduciary or advisory relationship between you and Intellibricks.

2.4 No endorsement of third-party claims. Content about competitors or markets may be derived from public sources, your inputs, or models that can err. You must verify facts material to your business before relying on them.

2.5 Integration with your stack. Where you connect third-party systems, those systems remain governed by their terms. The Service is a supplement to your workflow; you remain responsible for data accuracy, permissions, and use within those systems.

3. Accounts; eligibility

  • You must provide accurate registration information and keep it current.
  • You are responsible for all activity under your account and for safeguarding credentials.
  • You must be at least the age of majority in your jurisdiction (and at least 16) to use the Service.
  • We may refuse service or close accounts that violate these Terms or pose security or legal risk.

4. Subscription; fees; trials

  • Fees. Paid plans are billed as disclosed at checkout (e.g., via Stripe). You authorize us and our payment processor to charge your payment method for applicable fees, taxes, and renewals on the billing cycle you select until you cancel.
  • Trials. If we offer a trial, its duration and terms are shown at signup or checkout. Unless we state otherwise, trials convert to paid subscriptions at the end of the trial unless you cancel before renewal.
  • Taxes. Fees are exclusive of taxes unless stated; you are responsible for applicable taxes.
  • Changes. We may change pricing with reasonable advance notice (e.g., email or in-product); continued use after the change constitutes acceptance where permitted by law.

5. Cancellation and Refunds

You may cancel your subscription at any time from your account settings. Upon cancellation:

  • Your account will remain active until the end of the current billing period.
  • You will retain read-only access to your data for 30 days after cancellation.
  • After 30 days, your workspace data will be permanently deleted.
  • We do not offer refunds for partial billing periods. If you cancel mid-cycle, you retain access until the period ends.

6. License to use the Service

Subject to these Terms and your payment of applicable fees, Intellibricks grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the subscription term.

You will not (and will not permit others to):

  • Reverse engineer, scrape, or probe the Service except as allowed by law;
  • Circumvent security, rate limits, or access controls;
  • Use the Service to build a competing product or to train a machine learning model on our outputs except through documented APIs as permitted;
  • Transmit malware, spam, or unlawful content;
  • Use the Service in violation of export control or sanctions laws.

7. Customer data; license to us

  • Your content. You retain ownership of data and content you submit (“Customer Data”).
  • License to Intellibricks. You grant Intellibricks a worldwide license to host, process, transmit, display, and create derivative outputs (e.g., generated briefs) solely to provide, secure, and improve the Service and as described in our Privacy Policy.
  • Responsibility. You represent that you have all rights necessary to submit Customer Data and that your use does not violate third-party rights or laws.
  • Aggregates. We may use de-identified or aggregated data for analytics and product improvement.

8. AI features

The Service may use third-party AI models. Outputs may be inaccurate, incomplete, or outdated. Section 2 applies in full. AI providers process prompts under their API terms; we configure services consistent with our Privacy Policy regarding training use.

9. Third-party services and integrations

The Service may connect to third-party platforms (e.g., CRM). Those services are governed by their terms and privacy policies. Intellibricks is not responsible for third-party services. You authorize us to access and process data from integrations you enable.

10. Intellectual property

  • Intellibricks IP. The Service, software, branding, and documentation are owned by Intellibricks or its licensors. Except for the limited license above, no rights are granted.
  • Feedback. If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without obligation to you.

11. Confidentiality

Each party may receive non-public information of the other (“Confidential Information”). The receiving party will use reasonable care to protect Confidential Information and use it only for the purposes of these Terms. Exclusions include information that is public, independently developed, or rightfully received from a third party.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTELLIBRICKS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.

YOU ACKNOWLEDGE THAT THE SERVICE PROVIDES REFERENCE AND GUIDANCE ONLY AND THAT YOU ALONE ARE RESPONSIBLE FOR BUSINESS AND COMPLIANCE DECISIONS AND ACTIONS TAKEN BASED ON THE SERVICE OR ITS OUTPUTS, AS FURTHER DESCRIBED IN SECTION 2.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • NO INDIRECT DAMAGES. INTELLIBRICKS AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, DATA, OR GOODWILL, INCLUDING DAMAGES ARISING FROM YOUR RELIANCE ON OUTPUTS FROM THE SERVICE OR DECISIONS MADE IN CONNECTION WITH SALES, MARKETING, OR CUSTOMER INTERACTIONS.
  • CAP. INTELLIBRICKS’ TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO INTELLIBRICKS FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100) IF YOU HAVE NOT PAID FEES.

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted.

14. Indemnity

You will defend and indemnify Intellibricks and its officers, directors, employees, and agents from any third-party claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of: (a) Customer Data; (b) your use of the Service in violation of these Terms or law; (c) a dispute between you and your users or integrations; or (d) your communications, representations, or actions toward third parties (including customers and prospects) that are informed by or attributed to use of the Service.

15. Term; suspension; termination

  • Term. These Terms apply from first use until terminated.
  • By you. You may stop using the Service and cancel subscriptions per in-product or payment-provider flows.
  • By us. We may suspend or terminate access for breach, risk, non-payment, or legal requirement, with notice where reasonable.
  • Effect. Upon termination, your right to access the Service ends. We may delete data per our Privacy Policy and retention practices. Sections intended to survive (e.g., 7, 10, 12–17) survive.

16. Export; sanctions

You represent that you are not located in, under the control of, or a national or resident of any country or entity subject to U.S. embargoes or sanctions. You will comply with applicable export laws.

17. Governing law; venue

These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules. Exclusive venue for disputes will be the state and federal courts located in Delaware, except that Intellibricks may seek injunctive relief in any court of competent jurisdiction.

If you are a consumer in the EEA/UK, mandatory consumer protections may apply; nothing in this section limits non-waivable rights.

18. Changes to the Terms

We may modify these Terms. We will post the updated Terms and update the “Last updated” date. For material changes, we will provide additional notice where required. Continued use after the effective date constitutes acceptance where permitted. If you do not agree, you must stop using the Service.

19. Miscellaneous

  • Entire agreement. These Terms and policies referenced herein are the entire agreement regarding the Service.
  • Assignment. You may not assign these Terms without our consent; we may assign in connection with a merger or sale.
  • No waiver. Failure to enforce a provision is not a waiver.
  • Severability. Invalid provisions will be limited or removed; the remainder remains effective.
  • Force majeure. We are not liable for delays due to events beyond reasonable control.
