Terms of Service
KeystoneIQ is operated by Intellibricks Inc. ("Intellibricks," "we," "us," or "our"). Intellibricks Inc. is a federal corporation incorporated under the Canada Business Corporations Act (Canada) and is the legal entity that offers the Service; KeystoneIQ is the product name. These Terms of Service ("Terms") govern access to and use of the KeystoneIQ websites, applications, and related services (collectively, the "Service"). By creating an account, clicking to accept, or using the Service, you ("you," "your," or "Customer") agree to these Terms.
If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" includes that entity.

1. The Service
KeystoneIQ provides competitive intelligence, briefs, summaries, and related workflow features as described on our website and in-product documentation. The Service is intended to complement your existing tools, not to replace them. We may modify, suspend, or discontinue features with reasonable notice where practicable.
2. Nature of the Service; informational use; your sole responsibility
2.1 Reference and guidance. Outputs from the Service (including AI-generated briefs, summaries, talking points, and recommendations) are provided for informational, reference, and planning purposes. They are not guaranteed to be complete, accurate, current, or suitable for any particular situation.
2.2 Your judgment and accountability. You are solely responsible for how you use the Service and any outputs, including what you communicate to customers, prospects, or regulators, and what actions you take. Intellibricks does not control your business decisions and is not responsible for outcomes of those decisions.
2.3 Not professional advice. The Service does not constitute legal, financial, tax, regulatory, or other professional advice. Nothing in the Service creates a fiduciary or advisory relationship between you and Intellibricks.
2.4 No endorsement of third-party claims. Content about competitors or markets may be derived from public sources, your inputs, or AI models that can err. You must verify facts material to your business before relying on them.
2.5 Data sources. The Service may collect and summarize publicly available information from the internet to generate briefs. Intellibricks does not guarantee that any third-party source permits such use, and is not responsible for the accuracy or legality of third-party content. If you believe any content infringes your rights, see Section 21.
2.6 Integration with your tools. Where you connect third-party systems, those systems remain governed by their terms. You remain responsible for data accuracy, permissions, and use within those systems.
3. Accounts; eligibility
- You must provide accurate registration information and keep it current.
- You are responsible for all activity under your account and for safeguarding credentials.
- You must be at least the age of majority in your jurisdiction (and at least 16) to use the Service.
- We may refuse service or close accounts that violate these Terms or pose security or legal risk.
4. Subscription; fees; trials
- Fees. Paid plans are billed as disclosed at checkout. All fees are quoted and charged in United States dollars (USD) unless otherwise stated. You authorize us and our payment processor to charge your payment method for applicable fees, taxes, and renewals until you cancel.
- Trials. If we offer a trial, its duration and terms are shown at signup. Unless stated otherwise, trials convert to paid subscriptions unless you cancel before renewal.
- Taxes. Fees are exclusive of taxes unless stated; you are responsible for applicable taxes.
- Changes. We may change pricing with reasonable advance notice; continued use after the change constitutes acceptance where permitted by law.
5. Cancellation and refunds
You may cancel your subscription at any time from your account settings. Upon cancellation:
- Your account will remain active until the end of the current billing period.
- You will retain read-only access to your data for 30 days after cancellation.
- After 30 days, your workspace data will be permanently deleted.
- We do not offer refunds for partial billing periods.
6. License to use the Service
Subject to these Terms and your payment of applicable fees, Intellibricks grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the subscription term.
You will not (and will not permit others to):
- Reverse engineer, scrape, or probe the Service except as allowed by law;
- Circumvent security, rate limits, or access controls;
- Use the Service to build a competing product or to train a machine learning model on our outputs except through documented APIs as permitted;
- Transmit malware, spam, or unlawful content;
- Use the Service in violation of export control or sanctions laws.
7. Customer data; license to us
- Your content. You retain ownership of data and content you submit ("Customer Data").
- License to Intellibricks. You grant Intellibricks a worldwide license to host, process, transmit, display, and create derivative outputs (e.g., generated briefs) solely to provide, secure, and improve the Service and as described in our Privacy Policy.
- Document processing. When you upload documents or sync files, you authorize us to extract text and generate search indexes for brief context retrieval within your workspace. Extracted data is workspace-isolated and is not used to train any AI model or shared with other customers.
- Responsibility. You represent that you have all rights necessary to submit Customer Data and that your use does not violate third-party rights or laws.
- Aggregates. We may use de-identified or aggregated data for analytics and product improvement.
8. AI features
The Service uses third-party AI providers to generate briefs, summaries, recommendations, and search indexes. All AI providers process Customer Data only via API under terms that prohibit using API data for model training. Outputs may be inaccurate, incomplete, or outdated. Section 2 applies in full.
9. Third-party services and integrations
The Service may connect to third-party platforms (e.g., CRM, documents). Those services are governed by their terms and privacy policies. Intellibricks is not responsible for third-party services. You authorize us to access and process data from integrations you enable.
10. Intellectual property
- Intellibricks IP. The Service, software, branding, and documentation are owned by Intellibricks or its licensors. Except for the limited license above, no rights are granted.
- Feedback. If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without obligation to you.
11. Confidentiality
Each party may receive non-public information of the other ("Confidential Information"). The receiving party will use reasonable care to protect Confidential Information and use it only for the purposes of these Terms. Exclusions include information that is public, independently developed, or rightfully received from a third party.
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTELLIBRICKS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.
YOU ACKNOWLEDGE THAT THE SERVICE PROVIDES REFERENCE AND GUIDANCE ONLY AND THAT YOU ALONE ARE RESPONSIBLE FOR BUSINESS DECISIONS AND ACTIONS TAKEN BASED ON THE SERVICE OR ITS OUTPUTS.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- NO INDIRECT DAMAGES. INTELLIBRICKS AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, DATA, OR GOODWILL, INCLUDING DAMAGES ARISING FROM YOUR RELIANCE ON OUTPUTS FROM THE SERVICE.
- CAP. INTELLIBRICKS' TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO INTELLIBRICKS FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (IN USD), OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted.
14. Indemnity
You will defend and indemnify Intellibricks and its officers, directors, employees, and agents from any third-party claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of: (a) Customer Data; (b) your use of the Service in violation of these Terms or law; (c) a dispute between you and your users or integrations; or (d) your communications, representations, or actions toward third parties that are informed by or attributed to use of the Service.
15. Data processing
If your organization requires a Data Processing Agreement (DPA) for GDPR or similar regulatory compliance, contact support@keystoneiq.ai. We will provide a DPA upon request.
16. Term; suspension; termination
- Term. These Terms apply from first use until terminated.
- By you. You may stop using the Service and cancel subscriptions at any time.
- By us. We may suspend or terminate access for breach, risk, non-payment, or legal requirement, with notice where reasonable.
- Effect. Upon termination, your right to access the Service ends. We may delete data per our Privacy Policy. Sections 7, 10–14, and 17–22 survive termination.
17. Export; sanctions
You represent that you are not prohibited from receiving or using the Service under applicable Canadian sanctions and trade restrictions or United States export controls where they apply. You will comply with all applicable export, sanctions, and trade laws.
18. Governing law; venue
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario. Exclusive venue for disputes is the courts of Ontario, Canada, except that Intellibricks may seek injunctive relief in any court of competent jurisdiction.
Mandatory consumer protections may apply where you live; nothing in this section limits non-waivable rights.
19. Changes to the Terms
We may modify these Terms. We will post the updated Terms and update the "Last updated" date. Continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Service.
20. Acceptable use
You agree not to use the Service to:
- Engage in, facilitate, or support price-fixing, bid-rigging, market allocation, or other conduct that violates antitrust or competition law;
- Harass, defame, or mislead third parties using outputs from the Service;
- Submit knowingly false or misleading data with the intent to corrupt outputs or deceive other users.
Intellibricks may suspend or terminate accounts that violate this section without prior notice.
21. Copyright complaints
If you believe content generated or displayed by the Service infringes your copyright, contact:

We will respond to valid notices consistent with applicable copyright law and may remove or disable access to allegedly infringing material.
22. Miscellaneous
- Entire agreement. These Terms and referenced policies are the entire agreement.
- No third-party beneficiaries. Your agreement is with Intellibricks Inc. only. Claims run solely against Intellibricks Inc. and not against any individual in their personal capacity.
- Assignment. You may not assign without our consent; we may assign in connection with a merger or sale.
- No waiver. Failure to enforce a provision is not a waiver.
- Severability. Invalid provisions will be limited or removed; the remainder remains effective.
- Force majeure. We are not liable for delays due to events beyond reasonable control.
